Terms of Service

These Terms of Service govern your access to and use of Sol Edit Engine, also referred to as SEE, provided by RackFocus LLC / Sol Edit Engine.

By purchasing, downloading, installing, or using Sol Edit Engine, you agree to these Terms.

1. Product Description

Sol Edit Engine is local-first desktop software for video production and post-production workflows. It is designed to assist with unattended media intake, verified safe copy, Folder Structure enforcement, camera-aware color, archive preparation, media indexing, searchable selects, Review Queue approvals, and Creative Build workflows in DaVinci Resolve.

Sol Edit Engine is a workflow assistant. It does not replace professional creative judgment, color grading judgment, editing judgment, technical review, or user review of final deliverables.

2. License

When you purchase or subscribe to Sol Edit Engine, you receive a limited, non-exclusive, non-transferable license to install and use the software according to the license type purchased.

You may not resell, redistribute, sublicense, reverse engineer, copy, modify, or create unauthorized derivative works from Sol Edit Engine except where allowed by applicable law.

3. Purchases and Subscriptions

Sol Edit Engine may be sold as a one-time license, lifetime/founder license, monthly subscription, annual subscription, or optional digital add-on.

Subscription access continues while the subscription remains active. If a subscription is canceled or payment fails, access to subscription features may end after the current billing period or applicable grace period.

4. Payments

Payments are processed through Lemon Squeezy or another authorized payment provider. We do not directly store full payment card details.

Prices, plan features, billing intervals, and included updates will be shown at checkout or on the product website.

5. Refunds

Unless otherwise stated at checkout, we offer a 14-day refund window for software purchases when the product does not work as reasonably expected and the issue cannot be resolved through support.

Refunds may not be available for misuse, abuse, fraudulent purchases, chargeback abuse, or purchases made after continued use beyond the refund period.

Nothing in this policy limits rights that cannot be waived under applicable consumer law.

6. Updates and Availability

We may provide updates, bug fixes, improvements, or new versions of the software. Some updates may require an active subscription or eligible license.

We may change, improve, suspend, or discontinue features over time. We will make reasonable efforts to avoid disrupting paid users, but we do not guarantee that every feature will remain unchanged forever.

7. Beta and Preview Features

Sol Edit Engine may include beta, preview, experimental, early access, or roadmap features. These features may be incomplete, may change before final release, may produce unexpected results, or may be removed.

You should not rely on beta or preview features as the only method for protecting, delivering, archiving, or restoring client work.

8. Third-Party Software and Services

Sol Edit Engine may interact with third-party tools or services such as DaVinci Resolve, FFmpeg, audio utilities, OpenAI services, operating system APIs, or payment/licensing providers.

Third-party tools are governed by their own terms and licenses. Sol Edit Engine is not affiliated with, endorsed by, or sponsored by Blackmagic Design unless explicitly stated.

9. User Responsibilities

You are responsible for maintaining backups of your projects, footage, archives, timelines, exports, LUTs, presets, and deliverables.

You should review all output before delivering it to clients or publishing it. Sol Edit Engine may assist with workflow automation, but final approval remains your responsibility.

10. No Guarantee of Output Results

Sol Edit Engine may assist with verified copying, organizing, camera-aware color, archive preparation, media indexing, transcription, searchable selects, proposed creative builds, reports, and verification checks. It does not guarantee perfect color results, perfect relinking, perfect archive recovery, perfect file matching, uninterrupted exports, or error-free client deliverables.

11. Acceptable Use

You agree not to use Sol Edit Engine to violate laws, infringe intellectual property rights, bypass licensing systems, distribute malware, access systems without permission, or process content you do not have the right to use.

12. Intellectual Property

Sol Edit Engine, including its software, design, branding, workflows, documentation, and related materials, is owned by RackFocus LLC / Sol Edit Engine or its licensors.

You retain ownership of your own media, footage, projects, LUTs, presets, and creative work.

13. Open Source and Third-Party Licenses

Sol Edit Engine may include or interact with open source or third-party components. Those components remain governed by their own license terms, notices, and attribution requirements. Where required, applicable notices may be included in the software, documentation, installer, or a third-party notices file.

14. Warranty Disclaimer

Sol Edit Engine is provided "as is" and "as available" to the fullest extent permitted by law. We do not guarantee that the software will be error-free, uninterrupted, or suitable for every workflow, project, file type, camera format, operating system, Resolve version, or production environment.

15. Limitation of Liability

To the fullest extent permitted by law, RackFocus LLC / Sol Edit Engine will not be liable for indirect, incidental, special, consequential, or lost-profit damages, including loss of footage, project files, client deliverables, revenue, business opportunities, or data.

Our maximum liability for any claim related to Sol Edit Engine is limited to the amount you paid for the product or service during the 12 months before the claim.

16. Termination

We may suspend or terminate access if you violate these Terms, misuse the software, abuse support or licensing systems, commit fraud, or engage in illegal activity.

17. Governing Law

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict of law principles, except where applicable consumer law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised effective date or last updated date.
